If you think signing a Contract/Agreement for your company is just a formality? Think again. In Nigeria, who signs and how they sign can impact your personal finances. Talk of innocent ignorance.
Only a Director, Company Secretary or a person authorized by a Board of Directors Resolution have the power to bind the company. Anyone else might be signing himself into personal liability.
Remember to write your official designation (position) under your name.
The company seal should be embossed on the signing column. Without this official stamp, your contract could be questioned/ challenged.
The new company law in Nigeria has relaxed this rule, making the addition of company seal optional.
However, the seal is an added layer of formal authority.
No proper authority? You could be personally sued for every penalty, debt or loss arising from that Agreement.
This is not a minor technicality. It is your frontline defence protecting both you and your company.
So before you sign any document, ask yourself: Am I authorized by the Board to sign this? Is the company seal embossed next to my signature? Am I a Director or Company Secretary?
If you hesitate to say yes to all three, do not sign.
